1. Scope of Services

LML provides audio and visual production services for live events, recording, and broadcast. Services include, but are not limited to: audio and video systems programming and signal routing, technical consulting, technical direction and show calling, crew coordination, staging and utility services, lighting systems, and other computer-based technical services for installations and live events. The specific scope of services for each engagement is defined in the applicable proposal, quote, or work order agreed upon between LML and the client.

2. Client Responsibilities

Clients are responsible for providing foundational information necessary for LML to perform services, including event dates, expected times, venue specifications, and a clear indication of whether an engagement is confirmed or currently out for bid. Live events are dynamic, and LML understands that details evolve — clients are expected to communicate changes as they arise and to be transparent about the status of the engagement. Unreasonable delays or errors caused by inaccurate client-provided information are not the responsibility of LML.

3. Limitation of Liability

To the fullest extent permitted by applicable law, LML's total liability arising out of or related to any engagement shall not exceed the fees paid by the client for that specific engagement. LML shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of revenue, loss of data, or loss of business opportunity — even if LML has been advised of the possibility of such damages.

4. Professional Liability Disclaimer

LML's services represent the exercise of professional judgment based on the information available at the time of the engagement. LML does not guarantee specific outcomes, results, or performance. Work is conducted in accordance with industry standards and reasonable professional care, but live event production involves variables beyond our control.

5. Payment Terms

LML's standard payment terms are Net 14 from the date of invoice. Net 30 terms are available and can be accommodated based on client needs — contact us to discuss. LML recognizes that some clients operate under their own internal payment policies, and we will work within those frameworks where reasonable and agreed upon in advance.

Payment of an invoice constitutes the client's acceptance of these Terms of Service as they apply to the associated engagement. LML reserves the right to suspend or decline future services for accounts with outstanding balances.

6. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of New York. LML operates nationally but is headquartered in New York.

7. Changes to Terms

LML reserves the right to update or modify these Terms of Service at any time. Changes will be posted to this page with an updated "Last updated" date. Continued engagement with LML following any modification constitutes acceptance of the revised terms. For major or consequential changes, LML will make reasonable efforts to notify active clients directly rather than relying solely on passive website updates.
